Terms of service
Draft. This text isn't in effect yet: the parts in [brackets] are still being decided.
Effective [effective date].
These terms are between Harry Knowles, trading as Dalbie (“we”, “us”), and the business that installs Dalbie Dates on its Shopify store (“you”). By installing or using the app you accept them.
1. The service
Dalbie Dates lets your customers choose a delivery date for their order, and helps you limit how many orders you take for each date. It includes a delivery calendar for your online store, a delivery date picker in checkout (Shopify Plus stores only), a checkout rule, order tags and “Fulfill by” dates, and an admin app for your settings and for changing an order’s date. Features marked “Coming soon” in the app aren’t part of the service until they’re released.
2. Plans and billing
Plans, prices, free trials and the charge for orders beyond a plan’s monthly allowance are shown in the app’s Shopify App Store listing and in the app. Shopify bills you for them on your Shopify invoice, under Shopify’s terms. Orders over your allowance are never refused; they’re charged at the plan’s per-order price. Orders during a free trial aren’t charged. You can change or cancel your plan at any time in the app; Shopify handles any proration. We’ll give you at least 30 days’ notice in the app before a price increase.
3. Your responsibilities
- Keep your delivery settings accurate. The app applies the rules you set; it doesn’t know whether you can actually deliver on a date.
- You’re responsible for delivering the orders you accept, and for your relationship with your customers, including your own privacy notice.
- Don’t use the app to break the law or Shopify’s terms, or try to access other stores’ data or disrupt the service.
4. Availability
We aim to keep the service running and fix problems quickly, but we don’t guarantee it will be uninterrupted or error-free, and there’s no service level agreement. If the app can’t be reached, your customers can still place orders, but can’t choose a delivery date until it’s back; the app flags those orders so you can give each one a date. Shopify’s own availability is outside our control.
5. Data
How we handle data is set out in our privacy policy. For your customers’ data, we act on your behalf, only to provide the service. When you uninstall the app, your data is deleted as the privacy policy describes.
6. Liability
Nothing in these terms limits liability that can’t be limited by law. Otherwise, we’re not liable for loss of profit, revenue or business, or for indirect loss, and our total liability in any 12 months is limited to [liability cap, e.g. the fees you paid us in those 12 months]. Delivery dates are chosen by your customers under rules you set; we’re not responsible for whether an order can be delivered on its date.
7. Ending
You can stop using the app at any time by uninstalling it. We can suspend or end your access if you break these terms, or stop the service with 30 days’ notice, in which case unused paid time isn’t charged.
8. Changes
We may update these terms. We’ll tell you in the app at least 30 days before a change that affects you takes effect; continuing to use the app after that means you accept it.
9. Law
These terms are governed by the law of [governing law], and its courts have jurisdiction.
